Registrar-General Approves Virtual Annual General Meetings

The Registrar-General’s Department (RGD) has approved the holding of virtual Annual General Meetings (AGMs) to enable companies submit their annual returns to the department on schedule.

The decision is in view of the COVID-19 pandemic and the resultant restriction imposed under the Imposition of Restrictions Act 2020 (Act 1012) on public gatherings, pursuant to the power conferred by section 378(2) of the Companies Act 2019 (Act 992) on the Registrar of Companies.

The RGD, however, issued guidelines the companies must follow on the procedure and conduct of the AGM.

A statement signed and issued by the Registrar of the RGD, Mrs Jemima Mamaa Oware, however, said before a company held such a virtual meeting, the Registrar-General must be notified through its head office in Accra or any of the regional offices in Kumasi, Sekondi Takoradi or Tamale.

“In this notification Companies should spell out the electronic system to be used to be fair to all members.

“Notice of the Meeting should be sent to EVERY member electronically in accordance with provisions of each Company’s constitution,” the statement spelled out the guidelines.

It said the virtual AGM could be held using such modalities as were fair to all their shareholders.

The statement directed that companies may send their notifications to the RGD via mail-in line with the protocols on the restriction on movements.
